Exhibit Location 

            The Exhibit Area, the Imperial Foyer is a large open space with excellent flow and will serve as the main gathering place during the Conference.  Participants will be in this area throughout the Conference:  when registering; when attending General Sessions; or just enjoying a coffee break. 

Rules and Regulations 

            The following rules and regulations are incorporated in the contract between the Exhibitor and Auditory-Verbal International, Inc. (AVI) 

¨       Cancellation of Conference:  In the event of the cancellation of the Conference due to acts of God, strikes, or other causes beyond the control of Auditory-Verbal International, Inc. or The Hyatt Regency Denver, AVI, Inc. will refund a portion of the exhibit fee as AVI, in its sole discretion, deems consistent with the expenditures and commitments made. 

¨       Compliance with Rules, Regulations and Conditions:  Participation by exhibitors is dependent upon compliance with all rules, regulations and conditions stated herein.  By executing an application for exhibit space, the exhibitor expressly agrees to all rules and regulations set forth here by AVI, Inc. 

¨       Distribution and Solicitation:  Distribution of promotional materials may only be made within the exhibit area specifically assigned to the exhibitor presenting such material.  No firm or organization not assigned space in the exhibit area may distribute promotional material or solicit business in the exhibit area. 

¨       Fire Considerations:  All booth decorations must be non-flammable.  Exhibitors must comply with all city fire regulations.  Electrical wiring must conform with Electrical Code Safety Rules.  If any exhibitor fails to comply with any of these regulations, the right is reserved to cancel all or any portion of the exhibit in derogation of these regulations. 

¨       Liability and Insurance:  All equipment and related display or exhibit materials used by exhibitors are not insured by Auditory-Verbal International, Inc., The Hyatt Regency Denver, or their subcontractors, and neither AVI, Inc., The Hyatt Regency Denver nor their subcontractors, agents, assigns or volunteers will be liable for any loss, damage or destruction caused to equipment, goods, property or displays belonging to the exhibitors.  Neither AVI, Inc. nor The Hyatt Regency Denver, or their subcontractors, agents assigns or volunteers assumes any obligation or duty with respect to the protection of any property of exhibitors, which shall at all times remain in the sole custody and possession of each exhibitor and which shall be the sole responsibility of each exhibitor.  Exhibitor expressly agrees to protect and indemnify Auditory-Verbal International, Inc. and The Hyatt Regency Denver, and its subcontractors, agents, assigns and volunteers and forever hold them harmless from any damage or charges imposed for any exhibitor or those holding under the exhibitor, as well as to strictly comply with all applicable terms and conditions contained in the agreement between The Hyatt Regency Denver and Auditory-Verbal International, Inc.  Additionally, the exhibitor shall at all times, protect, indemnify, save and hold harmless Auditory-Verbal International, Inc., and The Hyatt Regency Denver against and from any accident or other occurrence to anyone, including the exhibitor, its agents, employees, and business invitees, which arises from or out of or by reason of said exhibitor’s occupancy and use of the exhibition premises or a party thereof. 

¨       Payment and Cancellation Policy:  Payment in full is expected with application.  Federal and State agencies ONLY may submit a purchase order with payment due no later than May 15, 2001.

All cancellations must be received in writing by the AVI office by May 15, 2001.    75% of the exhibit fee is refundable for such appropriately received cancellations.  No refunds will be given after May 15, 2001.  No refund will be given if reserved space is not used or if used during only a portion of the Conference. 

¨       Sales:  Any company or firm desiring to sell must comply with the state and local sales permit requirements. 

¨       Shipping/Package Procedures:  Exhibitor is responsible for the cost and execution of the design, installation and delivery of their display to, and removal from, the exhibit site.

            Cost is $10.00 per box; $230 per pallet.  Should there be extensive shipping of boxes or crates in, or out of the hotel, or moved within the hotel, additional labor/handling fees may apply. 

            Upon arrival at the hotel, contact the Purchasing Department to discuss delivery and payment arrangements. 

            To ship out a package, a “Package Shipping Request” form must be filled out completely with method of payment and destination information.  Please dial “Perfect Stay” to speak with a banquet manager to arrange this while on site. 

            Loading Dock Hours:  6 AM to 4 PM.  Dock Height:  12’4”.  Loading Level:  3’6”.  Purchasing Door Width:  5’6”. 

            Freight Elevator (Opens onto 18th Street and unloads into the Imperial Ballroom).  Hours:  Flexible based on availability of Imperial Ballroom.  Height:  11’11”.  Width:  13’9”.  Depth:  21’7”.

¨       Signage, Posters, Banners:  Nothing shall be nailed, posted, attached or otherwise affixed to walls, floors, columns or other parts of the hotel building or furniture.  Exhibitors are expressly liable for any damage caused to building floors, walls, columns, tables or to other exhibitors property. 

¨       Space:  Exhibitors must remain in the space allocated by the contract, either a 12 foot premium exhibit space or 6 foot by 30 inches skirted tabletop.  Each exhibit space will be furnished with one chair and one electrical outlet.  If additional chairs are required, please so indicate on the form.

An exhibitor shall not assign to a third party its rights to the exhibit space or any portion of its space without the written consent of Auditory-Verbal International, Inc.  Such consent is solely within the discretion of Auditory-Verbal International, Inc.  Two or more organizations may not exhibit in a single space.

Please carefully note:  the Imperial Foyer is an open area.  Exhibitors may place their exhibiting materials in the Imperial Ballroom which will be locked overnight.  If an exhibitor elects to leave its materials or display in the Imperial Foyer, the exhibitor expressly assume any risk for loss or damage to its display, materials, etc. and expressly agrees to hold harmless Auditory-Verbal International, Inc. and The Hyatt Regency Denver, and AVI, Inc.’s and The Hyatt Regency Denver’s subcontractors, agents assigns and volunteers. 

¨       Staffing:  Exhibitor expressly agrees to staff its exhibit for the totality of the Conference, specifically, Friday, June 29, 2001, 7:30 AM to 5:30 PM and Saturday, June 30, 2001, 7:30 AM to 5:30 PM.  Exhibitor will not commence final teardown of the exhibit until Saturday, June 30, 2001, 5:30 PM.

 All matters not covered expressly herein are subject to the discretion of Auditory-Verbal International, Inc.
